1. About Retrails

Retrails provides white-label resale marketplace technology and services to fashion brands. We also operate brand-powered resale marketplaces where buyers and sellers can transact secondhand items.

These terms apply to:

• Visitors to our website

• Brands and business partners using our services

• Sellers listing items through a Retrails powered marketplace

• Buyers purchasing items through a Retrails powered marketplace

By accessing or using our website and services you confirm that you have read, understood and agree to be bound by these terms. If you do not agree, please stop using our website and services immediately.

2. Use of This Website

This website is intended to provide information about Retrails and our services. All content is for informational purposes only and may be updated or removed at our discretion.

You agree not to:

• Use this website for any unlawful purpose

• Attempt to gain unauthorised access to any part of the website or our systems

• Use automated tools to scrape or copy content from this website

• Reproduce or redistribute any content without our written permission

• Upload or transmit any viruses, malware or harmful code

• Harass, impersonate or stalk any other user

• Use the website to promote any illegal activity

• Take any action that could damage, disable or impair the website or our services

We reserve the right to suspend or terminate your access to our website or services at any time if we believe you have violated these terms, without notice and without liability to you.

4. User Content

When you list items, upload photographs or provide descriptions through a Retrails powered marketplace you are responsible for all content you submit. By submitting content you confirm that:

• You own the content and have the right to use it

• The content does not infringe the intellectual property, privacy or other rights of any third party

• The content is accurate, not misleading and not defamatory

• The content does not contain viruses, malware or harmful code

• The content does not contain anything unlawful, offensive or inappropriate

By submitting content you grant Retrails a non-exclusive, worldwide, royalty-free licence to use, display, reproduce and distribute that content solely for the purposes of operating the marketplace and our services.

We reserve the right to remove any content at any time without notice.

5. Account Security

You are responsible for maintaining the confidentiality of your account login details. You agree to notify us immediately at hello@retrails.com if you become aware of any unauthorised use of your account. Retrails will not be liable for any loss or damage arising from your failure to keep your account details secure.

6. Brand Partner Terms

By signing up to the Retrails Pilot program or any paid plan you agree to:

• Provide accurate information about your brand and business

• Share brand guidelines and pricing rules as required for setup

• Comply with all applicable laws including consumer protection and data protection legislation

• Not use Retrails technology for any unlawful purpose

We reserve the right to terminate a brand partnership at any time if these terms are breached.

7. Seller Terms

By listing an item through a Retrails powered marketplace you agree that:

• You are the legal owner of the item and have the right to sell it

• The item is genuine and not counterfeit or misrepresented

• The item matches the description, condition and photographs you have provided

• You will package and ship items promptly once a sale is confirmed

• Prepaid shipping labels provided by Retrails must be used as instructed

Counterfeit items: If we identify a counterfeit or misrepresented item we will contact you directly. You will have the option to have the item returned to you at your own cost within 14 days. If no response is received we reserve the right to dispose of the item responsibly and sustainably. Retrails accepts no liability for counterfeit items submitted by sellers.

Payouts: Seller payouts are processed via Stripe. Store credit is issued as a gift card or brand credit as agreed with the relevant brand partner. Retrails takes a percentage of each transaction as agreed in your brand or seller agreement.

8. Buyer Terms

By purchasing an item through a Retrails powered marketplace you agree that:

• You are purchasing a secondhand item and have read the condition description

• All sales are final unless the item significantly differs from its description

• Disputes must be raised within 48 hours of receiving the item

Buyer protection: Where buyer protection has been selected, every item is physically checked by Retrails before it is shipped. If an item significantly differs from its description we will work with you to resolve the issue including offering a refund or replacement where appropriate.

9. Payments and Pricing

All payments are processed securely via Stripe. By making a purchase or receiving a payout you agree to Stripe's terms of service available at stripe.com/legal.

Retrails does not store payment card details. All payment data is handled directly by Stripe in accordance with PCI DSS standards.

Our pricing and commission rates are subject to change without notice. Any changes to agreed rates with existing brand partners will be communicated in advance in writing.

We reserve the right to refuse any order or transaction placed through our platform at our sole discretion.

10. Pilot Program

Our 90 day free pilot is offered at no cost and with no obligation to continue. Full terms for the pilot program are set out in a separate pilot agreement provided to each brand partner. By participating in the pilot you agree to be bound by that agreement.

11. Force Majeure

We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from any cause beyond our reasonable control. Such causes include but are not limited to acts of God, fire, flood, epidemic, pandemic, terrorism, strikes, freight delays, government action or unusually severe weather conditions. In such circumstances we will notify you as soon as reasonably possible and take all reasonable steps to minimise the impact on our services.

12. Disclaimer of Warranties

Our website and services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Retrails makes no warranties of any kind, whether express or implied, including but not limited to:

• That the website or services will be uninterrupted, timely, secure or error free

• That any results obtained from using our services will be accurate or reliable

• That the quality of any services or information obtained through us will meet your expectations

No transmission of data over the internet can be guaranteed to be 100% secure. While we take all reasonable steps to protect your data, use of our website and services is at your own risk.

13. Limitation of Liability

Retrails and Sportive Hub Ltd are not liable for:

• Any loss or damage resulting from the use of this website or our services

• Any disputes between buyers and sellers beyond our buyer protection terms

• Any loss arising from counterfeit or misrepresented items submitted by sellers

• Any interruption or unavailability of our platform

• Any indirect, incidental, special or consequential damages arising from use of our services

Our total liability to any party shall not exceed the value of fees paid to Retrails in the 3 months prior to the claim.

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or any other liability that cannot be excluded by law.

14. Indemnity

By using our website or services you agree to defend, indemnify and hold Retrails, Sportive Hub Ltd, our officers, directors and employees harmless from any claims, liabilities, costs and expenses including reasonable legal fees arising from your use of our website or services or any violation of these terms.

15. Third Party Links and Services

Our website may contain links to third party websites. These links are provided for your convenience only. Retrails does not endorse or accept any responsibility for the content or services of any third party websites. If you access a linked website you do so at your own risk.

16. Data Protection

We handle all personal data in accordance with our Privacy Policy available at retrails.com/privacy. By using our website or services you agree to the collection and use of your data as described in that policy.

17. Suspension and Termination

We may suspend or terminate your access to our website or services at any time without notice if we believe you have violated these terms or if we consider it necessary to protect our business or other users. If your access is terminated you remain liable for any obligations incurred prior to termination.

We also reserve the right to suspend or cease providing our services entirely at any time, with or without notice, and we shall have no liability to you if we do so.

18. Assignment

You may not transfer or assign any of your rights or obligations under these terms without our prior written consent. We may transfer or assign our rights and obligations under these terms to any subsidiary, affiliate or successor without notifying you or requiring your consent.

19. Waiver

Our failure to enforce any right or provision of these terms shall not be considered a waiver of that right or provision. If we do not act immediately in response to a breach of these terms it does not mean we have given up our right to act at a later stage.

20. Entire Agreement

These terms and our Privacy Policy constitute the entire agreement between you and Retrails with respect to your use of our website and services. They supersede all prior discussions, communications and agreements whether written or oral relating to the same subject matter.

21. Severability

If any provision of these terms is found to be unenforceable or invalid by a court, that provision will be enforced to the maximum extent permitted by law and the remaining provisions will continue in full force and effect.

22. Changes to These Terms

We may update these terms from time to time. When we do we will update the date at the top of this page. Continued use of our website or services after changes means you accept the revised terms.

23. Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
